Clients agree to:

• Provide accurate information 
• Supply necessary project materials 
• Respond to requests promptly 
• Make payments according to agreed schedules 
• Obtain necessary licenses or permissions for content provided 

Payment terms will be outlined in project proposals or invoices.

Late payments may result in suspension of services until outstanding balances are cleared.

Unless otherwise agreed in writing:

• Clients retain ownership of materials they provide. 
• Ownership of custom-developed deliverables transfers to the client only after full payment has been received. 
• We retain ownership of our proprietary tools, frameworks, templates, methodologies, and pre-existing intellectual property. 

Both parties agree to maintain the confidentiality of proprietary and confidential information exchanged during the course of the engagement.

To the maximum extent permitted by law, Apex Global Services shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from the use of our services.

Our services are provided on an "as is" and "as available" basis. While we strive for high-quality service, we do not guarantee uninterrupted operation or error-free results.

Projects may involve third-party providers such as cloud platforms, hosting companies, payment gateways, software vendors, or APIs. We are not responsible for the performance, availability, or policies of these third-party services.

Either party may terminate a project in accordance with the agreed contract terms. Outstanding invoices for completed work remain payable upon termination.

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Apex Global Services is registered, unless otherwise required by applicable law.

We reserve the right to update these Terms & Conditions at any time. Continued use of our website or services after updates constitutes acceptance of the revised terms.
